Terms of Service

These Terms of Service ("Terms") govern access to https://www.weareobsidian.co.uk, the Obsidian Node asset portal, operations console, APIs, and related software and documentation (collectively, the "Platform") operated by Obsidian Dynamics Limited (company number 16663833), registered in England & Wales ("Obsidian Dynamics", "we", "us", or "our").

By accessing or using the Platform, you agree to these Terms. If you use the Platform on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Platform scope

Obsidian Node provides B2B tools for passive BLE asset tracking, gateway-assisted locate, fleet operations, environmental telemetry, and related field workflows. The public website is informational; operational features require issued access keys.

The Platform is not a consumer retail shop. We do not sell goods through this website, process consumer checkout payments, or provide consumer warranties for physical products via these Terms alone.

3. Eligibility and accounts

The Platform is intended for business and professional use. Access keys, ingest credentials, and admin credentials are issued to authorised organisations and must not be shared with unauthorised persons.

You are responsible for all activity under credentials issued to your organisation, including actions by your employees, contractors, and agents. Notify us promptly if you suspect compromise of any key or account.

4. Permitted use

You may use the Platform only:

  • For lawful field operations, asset management, and telemetry monitoring
  • In accordance with these Terms and any separate agreement with us
  • With respect for third-party rights and applicable site rules
  • Using documentation for gateway deployment, networking, and safety

5. Prohibited use

You must not:

  • Attempt to bypass authentication, scrape beyond permitted APIs, or probe systems without authorisation
  • Upload malware, interfere with gateways, or disrupt other users
  • Use the Platform for unlawful surveillance or harassment
  • Reverse engineer the Platform except where law expressly permits
  • Resell or sublicense access without our written consent
  • Misrepresent asset data, locations, or telemetry you submit

6. APIs, ingest, and edge devices

Gateways and integrations may use HTTP ingest endpoints, heartbeat routes, and signed update channels. You must protect API keys, ingest secrets, WireGuard credentials, and device SSH access.

You are responsible for configuring gateways (including Raspberry Pi, BLE adapters, sensors, cellular modems, and outdoor enclosures) in line with our documentation and good industry practice.

7. Asset locate and telemetry disclaimer

Asset location, proximity (Cold / Warm / Hot), last-seen timestamps, and environmental readings are indicative operational data, not guaranteed measurements. They depend on gateway placement, RF conditions, hardware health, and connectivity.

Do not rely on the Platform as the sole means of safety-critical locating, compliance enforcement, or emergency response without independent verification and appropriate professional judgement.

8. Hardware and field deployment

Unless covered by a separate written agreement, you are responsible for:

  • Physical installation, cabling, power, and weatherproofing of gateways
  • Site LAN, firewall rules, and cellular backhaul configuration
  • Compliance with local electrical, RF, and workplace safety requirements
  • Tag attachment, label printing, and on-site asset handling

9. Intellectual property

The Platform, website content, software, logos, documentation, and designs are owned by Obsidian Dynamics Limited or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms or a separate agreement.

You retain ownership of operational data you submit. You grant us a licence to host, process, and display that data as needed to operate the Platform.

10. Confidentiality

Access keys, unreleased documentation, fleet topology, and non-public pricing or deployment details may be confidential. You agree not to disclose our confidential information except to your personnel who need it and are bound by similar obligations.

11. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Platform you acknowledge that policy.

12. Availability and changes

We aim for reliable operation but do not guarantee uninterrupted availability. Edge gateways may store-and-forward during outages; we may perform maintenance on cloud components. Features may evolve; we may modify or withdraw functionality with reasonable notice where practicable.

Separate enterprise agreements may define service levels, support hours, and uptime commitments. Where no such agreement exists, the Platform is provided on an "as available" basis.

13. Disclaimer of warranties

To the fullest extent permitted by law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose or non-infringement.

14. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.

Subject to the above, Obsidian Dynamics Limited shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity arising from use of the Platform, even if advised of the possibility.

Our total aggregate liability arising from these Terms or use of the Platform shall not exceed the fees paid by your organisation to us in the twelve months preceding the claim, or £100 if no fees were paid, except where law requires otherwise.

15. Indemnity

You agree to indemnify and hold us harmless from claims arising from your breach of these Terms, misuse of credentials, unlawful deployment of hardware, or inaccurate data you submit, except where caused by our gross negligence or wilful misconduct.

16. Suspension and termination

We may suspend or terminate access if you breach these Terms, pose a security risk, or if required by law. You may stop using the Platform at any time. Provisions that by nature should survive (including liability limits, IP, and governing law) will survive termination.

17. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will reflect changes. Continued use after changes constitutes acceptance. For material changes affecting contracted customers, we may provide additional notice as required by agreement or law.

18. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers with mandatory local rights may bring proceedings in their home jurisdiction where applicable law requires.
